Payment Terms

Apex Digital Solutions LLC provides custom software development, digital infrastructure engineering, UI design, and search optimization under written statement of work agreements.

Invoices are issued according to project milestones with a standard fourteen day payment term. Unpaid balances incur standard monthly interest fees after notice.

Customer Responsibilities

Project Delivery

Clients must supply timely feedback, necessary credentials, and authoritative content assets within agreed production schedules to prevent project delivery delays.

Target launch dates depend on mutual schedule compliance. Final production deployments occur following formal client testing, review, and written acceptance.

Termination Rules

Full rights to final custom deliverables transfer to the client upon full payment settlement. Pre-existing frameworks and core software engines remain agency property.

Total aggregate agency liability for claims arising under any agreement is limited strictly to total fees paid by client during the preceding six months.

Either party may terminate an active engagement with thirty days written notice. Immediate termination applies for uncured material breaches or nonpayment.

Parties commit to resolving operational disagreements through executive negotiation first. Unresolved disputes shall undergo final binding arbitration under standard commercial rules.

These terms are governed by state commercial statutes. Legal inquiries and formal notices must be submitted in writing directly to our corporate legal team.
